1. GENERAL PROVISIONS

1.1. These Terms and Conditions govern the terms, manner and conditions under which RAMER GROUP Ltd. provides workspaces in a shared space for temporary and paid use, as well as the provision of additional services related to the use of the YocoWork shared workspace, hereinafter referred to as the “Shared Space”. For the purposes of these Terms and Conditions, “Shared Space” means workspace in which one or more users may use single or group workspaces for hourly, daily, weekly and monthly use, and the workspaces may be used only for activities normally performed in an office space.

1.2. These Terms and Conditions constitute a contract between RAMER GROUP Ltd. Varna and the address of the registered office at 6 Troleyna Street, reg. S.A., f.d. No. 1053/1999, UIC 103302389, hereinafter referred to as Ramer Group, and natural and legal persons, hereinafter referred to as Customer or Customers, establishing in advance the terms and conditions under which the shared space is used and the payment of the price for the service.

1.3. Ramer Group shall provide the Customer with the opportunity to use the services offered for payment of the relevant price, subject to these Terms and Conditions.

1.4. The Services are provided to individuals and legal entities.

1.5. The official opening hours of the YocoWork shared space are Monday to Friday from 9 am. to 6 pm..

2. TERMS

For the purposes of these Terms and Conditions, the following terms shall have the following meanings:

2.1. “Hourly Access” – an access plan for a number of hours in a calendar day between 9 am. and 6 pm.

2.2. “Daily Access” – an access plan for specific calendar days from 9 am. to 6 pm.

2.3. “Weekly Access” – an access plan for the days Monday through Friday within a calendar week from 9 am. to 6 pm.

2.4. “Monthly Access” – an access plan for one month on weekdays Monday through Friday from 9 am. to 6 pm.

2.5. “Workstation” includes the right to use one workstation from the available seats in the shared space of the Customer’s choice, consisting of a desk or part of a work table, as well as the right to unlimited use of wireless internet (WiFi), free use of a phone booth, use of printing and copying services for an additional fee.

2.6. “Private Office” – an access plan including the right to use a separate room with workstations of the Customer’s choice from 9 am. to 6 pm., the right to unlimited use of wireless Internet (WiFi), use of printing and copying services for an additional fee.

3. TYPES OF SERVICES OFFERED

3.1. Ramer Group provides the following services:

– use of workspaces in a shared space

– use of unlimited internet (WiFi)

– rental of meeting rooms and conference rooms for an additional fee

– printing and copying services at an additional cost

– phone booth

– temporary storage space for personal belongings and items

– address for courier and postage prepaid

– bicycle lock-up point (subject to availability)

– kitchenette, bathroom, lighting and air conditioning

– access to electricity

– one free coffee and/or tea per day

– drinking water purified by reverse osmosis

3.2. Each workstation is equipped with a desk or part of a desk, office chair, electricity, lighting and wireless internet (WiFi).

3.3. The provision of a meeting and discussion room is negotiable on a case by case basis and is charged extra.

3.4. Printing and photocopying services are available during office hours and are provided at an additional cost by a Ramer Group employee.

3.5. Temporary storage of personal belongings and items is only accessible by a Ramer Group employee and is accomplished by obtaining and providing a unique code.

3.6. The address for receiving courier and postal items addressed to the Customer is Varna, 6 Troleyna Street, office of Ramer Group. Only courier and postal items with prepaid courier costs may be received at the address. The service of providing an address for receiving courier and postal items includes their temporary storage until their actual receipt by the Customer. Ramer Group shall only be obliged to receive the parcel, notify the Customer in person or by email within one working day of receipt and store the parcel until it is handed over to the Customer in person. If the shipment is not accepted by the Customer within one (1) month from the date of receipt, Ramer Group shall not be liable for the delivery and/or delivery to the Customer and/or the condition of the shipments. This service is intended to enable the receipt of business correspondence by Customers. It does not serve as an address for the receipt of goods. In this regard, Ramer Group assumes no obligation to accept bulk mail or oversized shipments.

3.7. Ramer Group provides certain services such as communications, internet, electricity and the like which are inherently dependent on the operation and performance of third party providers of the relevant services and infrastructure which are not under the control or responsibility of Ramer Group.

4. ACCESS CONDITIONS

4.1. Ramer Group Customers, depending on the access plan chosen, are only entitled to access the YocoWork shared workspace during the officially announced working hours from Monday to Friday from 9 am. to 6 pm.

4.2 The opening hours of the YocoWork shared workspace for the additional services are negotiable and shall be entered into in an individual Contract between the parties.

4.3. Ramer Group shall be entitled to change the announced or additionally agreed working hours without notice in case of necessity and/or force majeure.

4.4. Access to the YocoWork shared workspace is within the scope of the paid plan and missed benefits cannot be compensated in a future period.

4.5. Customers are required to comply with the safety and security requirements of the building in which the shared workspace is located.

4.6. In the event of a Customer’s failure to make any payment due, Ramer Group shall be entitled to restrict or prohibit the Customer’s access to the YocoWork Shared Workspace.

4.7. Each Ramer Group Customer is obliged to vacate the used workspace at the end of working hours, namely by 6 pm.

5. RULES OF USE AND INTERNAL ORDER

5.1. Access to the YocoWork shared workspace is in accordance with the officially announced working hours from Monday to Friday, from 9:00 to 18:00 and is subject to the chosen package plan.

5.2. Ramer Group reserves the right to require proof of the Customer’s physical or legal status and shall have the right to refuse access to the YocoWork shared workspace until such proof is obtained.

5.3. A Customer’s entry into the YocoWork Shared Workspace shall be deemed to be one calendar day’s use of their package plan, regardless of the length of stay.

5.4. A Customer with an Hourly Access package plan that includes hourly limited time is required to vacate the workspace within 20 minutes after the expiration of the paid time slot.

5.5. When using the Shared Space, the Customer must keep quiet and behave in a manner that does not cause a disturbance to other visitors.

5.6. Ramer Group reserves the right to refuse, suspend or immediately terminate a Customer’s access to the YocoWork Shared Workspace in the event of unethical and/or inappropriate behaviour and/or conduct interfering with other Customers.

5.7. Ramer Group shall provide the Customer with furniture and technical equipment in full working order. Their use by the Customer shall be in accordance with their respective purpose. Damage resulting from improper or wrongful use shall be at the Customer’s expense, and the Customer shall reimburse Ramer Group for all costs incurred in restoring the damaged furniture or technical equipment to their original condition.

5.8. Smoking and the use of electronic cigarettes is expressly prohibited in the building housing the YocoWork shared workspace.

5.9. Internet Behavior of Customers:

5.9.1. The Customer shall comply with and observe all legal requirements and restrictions relating to the dissemination, transmission, storage, processing and/or presentation of information, including when using Internet access by the Ramer Group network.

5.9.2 The Customer shall comply with all applicable laws and regulations relating to the protection of intellectual and/or industrial property. The copying, distribution and/or downloading of copyrighted music, films and/or other copyrighted objects without the relevant licence is expressly prohibited.

5.9.3. In the event of a breach of clause 5.8.2. which has resulted in damages to Ramer Group, the Customer shall indemnify Ramer Group for all damages, including, but not limited to, all legal and other costs in connection with the protection of rights and legitimate interests.

6. PRICES AND METHOD OF PAYMENT

6.1. The prices of the services offered are listed here.

6.2. The prices for additional services and for the services of organising events and providing access to event premises are individually negotiated.

6.3. All prices are final inclusive of VAT.

6.4. For all services Ramer Group shall issue the Customer with an invoice and/or a receipt.

6.5. All services provided shall be paid for in full prior to use.

6.6. Payment may be made by bank transfer, debit or credit card or cash at the address of the YocoWork shared workspace.

6.7. Customers with contracts for a period greater than 1 (one) month shall make the payment before each subsequent monthly period. The Customer makes an advance payment for the whole month.

6.8. Ramer Group reserves the right to offer individual discounts to Customers or groups of Customers.

6.9. Ramer Group reserves the right to change the prices of the services offered at any time without notice. Changes do not apply to services paid for before the change is announced.

7. RIGHTS AND OBLIGATIONS

7.1. When using the Shared Workspace, the Customer shall strictly comply with these Terms and Conditions and shall follow the instructions given by the Ramer Group staff.

7.2 The Customer undertakes to inspect the shared workspace upon occupation. By commencing to use the workplace, the Customer declares that it accepts the same to be of good quality and in accordance with the terms and conditions. The Customer declares that he/she is aware that the workstations are located in a common shared space/office and are not subject to separation or segregation. The Customer has the right to object to the condition of the workstation(s) upon occupation. In the event that no objection is received by Ramer Group regarding the workstation used within the initial occupancy date, the Customer shall be deemed to have accepted the workstation in good condition and without objection. The Customer shall be solely responsible for its condition throughout the period of use.

7.3 The Customer shall be entitled to use the Shared Workspace only for the purpose intended, in accordance with these GENERAL CONDITIONS OF USE OF THE “YOCOWORK” SHARED WORKSPACE SERVICES.

7.4. The Customer shall have the right to cancel a paid reservation for the use of the Service in advance within 5 business days prior to the date on which the use of the Service was to commence. If the cancellation is made within this period, the amount paid by the Customer shall be refunded within 7 working days of receipt of the Customer’s notification of cancellation of the use of the service.

7.5. A full or partial refund of an amount paid by the Customer shall be made only and exclusively by the same means of payment by which the payment was made. In the case of a payment made by bank card, a refund shall only be made by ordering a reverse transaction on the card used for the original transaction.

7.6. In cases where the service has been booked and paid for but the Customer fails to attend and exercise the right to cancel the booking in advance within the period specified in clause 7.4., the Customer shall forfeit the right to use the service at a later date and shall not be due a refund of the price paid for the period not used. The Customer shall also not be entitled to a refund in the event that he cancels a reservation after the period specified in clause 7.4. In such cases, the amounts paid by the Customer for the booking shall be converted into compensation in favour of Ramer Group and the Customer shall have no claim in respect thereof.

7.7. The Customer shall be entitled to bring in and use its own machinery and equipment in the shared workspace.

7.8. The Customer shall take steps to protect its personal belongings not left for storage within the Shared Workspace.

7.9. The Customer shall not make any changes to the Workplace and Shared Workspace.

7.10. The Customer shall comply with and not interfere with any events held in the shared workspace, upon notice from Ramer Group given no later than 2 working days prior to the date of the event.

7.11. The Customer shall not assign the workspace used by it to any third party or transfer its rights and obligations to any third party without the prior written consent of Ramer Group.

7.12. The Customer shall use in good faith and treat with the care of a good steward the items, technical equipment and furniture, interior and exterior of the shared workspace provided by Ramer Group, and return them in the same condition in which they were received before leaving the workspace. In the event of damage, loss or absence of any of the items entrusted to it or material damage caused, the Customer undertakes to restore the missing items and/or material damage of the same kind and quality or to pay their value.

7.13. The Customer shall immediately after the expiry of the period of use vacate the workplace and hand it over clean and in the condition and form in which it was received. If the Customer is late and fails to vacate the Workplace on time, the Customer shall be liable for the costs caused by the late vacating. The Customer shall pay the Ramer Group compensation for the period of delay at the rate of 50 BGN per day, for each day of delay.

7.14. In the event that the Customer fails to clean and/or repair the workspace vacated by the Customer, the Customer shall be liable to pay a penalty of 100 BGN (one hundred leva) for each of the spaces in the shared workspace used by the Customer, or 600 BGN (six hundred leva) for a private office. Ramer Group has the right to declare the space vacant and to remove existing and abandoned items. Abandoned items will not be stored by Ramer Group if they are not removed after the expiry of the period of service provided.

7.15. Ramer Group reserves the right to make any structural alterations necessary to maintain and extend a particular workplace, and in order to remedy damage or hazards, within a reasonable time in accordance with the Customer. Should such circumstances arise, the Customer undertakes to make the workplace used by the Customer available if necessary. Ramer Group undertakes to take all measures to ensure that the Customer’s use of the services paid for is not impeded.

7.16. Customer may not bring pets into the YocoWork shared workspace. The Customer shall be liable for any damage caused by any pet brought in by the Customer or by persons associated with the Customer.

7.17. The Customer shall not bring outsiders, meet people or arrange meetings in the YocoWork Shared Workspace without the express written consent of Ramer Group.

7.18. The Customer shall not use or copy for any purpose the “YocoWork” or any other trademark owned by Ramer Group, logo, other identifier or intellectual property, nor any modified or altered versions of the same, nor shall the Customer take, copy or use for any purpose any photograph or illustration of any part of the YocoWork Shared Workspace without the prior consent of Ramer Group.

7.19. In the event of unauthorised use of the space or actions resulting in additional costs being incurred in relation to, but not limited to, security and/or safety, the Customer shall be solely responsible for the costs and/or damages incurred.

7.20. In the event of a breach by the Customer for which the liability of Ramer Group is engaged, the Customer undertakes to indemnify Ramer Group for all costs and damages incurred in defending its rights and legitimate interests in this respect. The Customer undertakes to reimburse Ramer Group for all costs and expenses incurred by Ramer Group, including damages and fines paid, attorneys’ fees and costs, governmental fees and all other costs incurred in defending Ramer Group’s rights and legitimate interests.

7.21. A suspension, malfunction, interruption or failure in any infrastructure or services which are inherently dependent on the performance and operation of the relevant third party service providers and infrastructure shall not relieve the Customer of its obligations to pay the full fees nor alter, interrupt or terminate the period of service provided.

7.22. The Customer, for itself and on behalf of any other person or entity, including the Customer’s employees and agents and its guests, hereby irrevocably waive(s) all claims and rights against Ramer Group and any claims related thereto, with respect to personal injury or personal injury, destruction, theft or loss of property to the fullest extent permitted by law, whether or not said loss or destruction is the result of defects in the building or any of its systems. Customer agrees and acknowledges that Ramer Group shall not be responsible for insuring Customer’s property or injuries and shall not be liable for damages, injuries or losses of any kind.

7.23. The Customer acknowledges and agrees that it has been informed that security cameras are installed in the YocoWork shared workspace and common area. The Customer may not request and Ramer Group shall have no obligation to maintain or provide the Customer with any photographs of the premises, photographic recordings, video film or other security related material.

7.24. The Customer acknowledges that where Ramer Group is legally obliged to provide information to an authority concerning Customers or Users, it is entitled to do so without informing the Customer and neither the Customer nor its visitors will have any claim in this respect.

7.25. Employees and service providers of Ramer Group shall have the right to enter premises and offices used by Customers without notice for the purpose of carrying out maintenance, security or safety services. In such cases, Ramer Group may temporarily move furniture.

8. RESPONSIBILITY OF RAMMER GROUP

8.1. Ramer Group shall not be liable for any wrongful acts of its Customers towards third parties, legal entities, state, municipal, judicial, law enforcement authorities and institutions.

8.2. Ramer Group shall not be liable for the cost of repair or replacement of lost Customer equipment or belongings.

8.3. Ramer Group is not responsible for stolen Customer’s belongings that are not turned over to a Ramer Group employee for safekeeping.

8.4. Ramer Group shall not be liable for any infringement of the Customer’s intellectual property by any third party.

8.5 Ramer Group shall not be liable for any damage to the Customer resulting from a hacking attack or other security breach.

8.6. Ramer Group shall not be liable for any damages suffered by a Customer unless such damages are the result of gross negligence or intent on the part of Ramer Group, its agent or employee. In all cases, Ramer Group’s liability is limited to damages that are the direct and proximate cause of acts for which it is liable and that could have been foreseen in the rental of the shared workspace. Ramer Group shall not be liable for any loss of profit or consequential damages.

8.7. Ramer Group shall not be liable for infringements of the intellectual property rights of third parties that result from the actions of a Customer, nor in cases of dissemination of personal data and/or confidential information by a Customer. The Customer is responsible for all infringements related to competition, copyright, trademarks, personal data, trade secrets and other infringements related to the Customer’s use of the YocoWork shared workspace provided by Ramer Group.

8.8. Ramer Group is not responsible for the content or condition of items delivered to Customers at the YocoWork shared workspace address. Ramer Group shall not be liable in the event that it is unable to receive correspondence addressed to a Customer due to a request by the courier company or postal operator for payment of delivery costs, a requirement of the sender that it be delivered in person or to an authorised representative. In this case, the Customer shall ensure the presence of an authorised representative to receive the relevant parcel and/or pay the courier company or postal operator personally the delivery costs due.

8.9. Ramer Group shall not be liable in any form or manner for any suspension, malfunction, interruption or failure in any third party infrastructure or services on which the Services provided by Ramer Group for the YocoWork Shared Workspace rely.

8.10. Ramer Group’s total property liability to Customer or Customer’s guests for any cause and for any activity shall not exceed the total fees actually paid by Customer to Ramer Group. In no event shall Ramer Group be liable for consequential damages or for lost profits or other business opportunities on the part of the Customer.

8.11. Ramer Group does not control and is not responsible for the actions or inactions of other Customers. In the event of any dispute arising between Customers of the YocoWork Shared Workspace or the Customer and/or its visitors, Ramer Group shall have no responsibility and no obligation to participate in, mediate, take any action or indemnify any party in connection with said dispute.

9. TERMINATION OF ACCESS TO PAID SERVICE

9.1. All services provided for the use of workstations shall be for a consideration and for a term and shall terminate upon the expiration of the term for which provided.

9.2. Ramer Group shall be entitled to unilaterally terminate immediately and without notice any services provided in the event that the Customer:

9.2.1. Violates these GENERAL TERMS AND CONDITIONS OF USE OF THE SERVICES IN THE “YOCOWORK” SHARED WORKSPACE.

9.2.2. Delay payment of its obligations, regardless of the duration of the delay.

9.2.3. In case of clear and/or repeated violations by the Customer, violations of these Terms and Conditions or of the Laws of the Country.

9.3. On the day of termination of the use of the shared workspace, the Customer shall vacate the workspace used by the Customer. In the event that the Customer fails to comply with this obligation, Ramer Group shall be entitled to declare the workspace vacant and remove any items abandoned by the Customer. Abandoned items shall not be stored by Ramer Group.

9.3. On the day of termination of the use of the shared workspace, the Customer shall vacate the workspace used by the Customer. In the event that the Customer fails to comply with this obligation, Ramer Group shall be entitled to declare the workspace vacant and remove any items abandoned by the Customer. Abandoned items shall not be stored by Ramer Group.

9.4. If the Customer fails to comply with its obligations under the preceding clause to vacate the Workspace, the Customer shall pay to Ramer Group a penalty of 50 BGN per day for each day of delay.

9.5. Ramer Group shall have the right to unilaterally and without notice terminate the Customer’s access to use the Service in the event that the Customer has breached the terms and conditions of use of the Shared Workspace and has failed to cease the breach and/or remedy the consequences of the breach within the time given by Ramer Group.

9.6. Ramer Group shall be entitled to unilaterally and without notice terminate the Customer’s access to use the Service with immediate effect in the event that the Customer is in breach of clause 5.8. and/or in breach of clause 7.11.

10. FINAL CLAUSES

10.1. All notices and documents to be served or provided by a Customer on Ramer Group under or in connection with the use of a YocoWork Shared Workspace(s) shall be served at the address of the Shared Workspace. All notices and documents to be served or provided by Ramer Group on a Customer shall be deemed validly served if delivered in person or sent to the mailing address provided by the Customer.

10.2. The services contracted and provided under these GENERAL CONDITIONS FOR USE OF SERVICES IN THE “YOCOWORK” SHARED WORKSPACE are subject to Bulgarian law. The provisions of the Bulgarian legislation in force shall apply to the matters not covered by these terms and conditions.

10.3. If individual clauses or parts of these Terms and Conditions are declared unlawful, void or unenforceable, this shall not render the remaining provisions of these Terms and Conditions unlawful, void or unenforceable.

10.4. Ramer Group is a personal data controller registered under the Personal Data Protection Act. Ramer Group guarantees the privacy of the information containing personal data provided by the Customer. Disclosure is only possible in cases where the information has been requested by state authorities or officials authorised by law to request and collect information containing personal data and in compliance with the statutory procedure. By accepting these Terms and Conditions, the Customer gives his/her express and unconditional consent, in perpetuity, for the personal data provided by him/her to be collected, stored, processed and used by Ramer Group in connection with the services provided.

10.5. Ramer Group shall not be liable for non-performance caused by force majeure (natural disaster, public disturbance, act of a state or municipal authority, etc.). The performance of obligations shall be suspended as long as the force majeure lasts.

10.6. These Terms and Conditions shall come into force from the moment of their publication on the website https://yocowork.com/. Ramer Group reserves the right to make changes to these Terms and Conditions at any time and without notice. Changes made shall be effective from the moment of their publication on the website https://yocowork.com/.

10.7. For any dispute concerning the existence and validity of these Terms and Conditions or in connection with their violation, including disputes and disagreements concerning their validity, interpretation, performance or non-performance, as well as for all matters not covered by these Terms and Conditions, the applicable Bulgarian law shall apply, and the parties shall settle their relations by agreement. In the event of failure to reach an agreement, the dispute shall be referred to the Varna District Court.

 

These “Terms and Conditions of Ramer Group Ltd. for the USE OF THE SERVICES IN THE SHARED WORKSPACE “YOCOWORK” are adopted by the decision of the Manager of Ramer Group Ltd.
